1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you (or the entity you represent, "Customer") and CDNStudio s.r.o. ("CDNStudio", "we", "us", or "our"), a company incorporated in the Czech Republic. By creating an account, accessing our API, or using any CDNStudio service, you accept these Terms in full.
If you are entering into these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
If you do not agree to these Terms, you must not use our Services.
2. Definitions
- "Services" means the CDNStudio content delivery network, edge storage, video streaming, image optimisation, API, dashboard, and any other products made available by CDNStudio.
- "Customer Content" means any data, files, or content that you transmit through or store using the Services.
- "End Users" means the individuals who access Customer Content via the CDNStudio network.
- "SLA" means the uptime service level agreement applicable to your plan, as described in Section 7.
- "API Key" means the authentication credential used to access the CDNStudio API.
3. Account & access
Registration
You must provide accurate and complete information when registering for an account and keep it up to date. You are responsible for ensuring that your contact and billing details are current at all times.
Account security
You are responsible for safeguarding your account credentials and API keys. You must not share your credentials with unauthorised parties. You must notify us immediately at support@cdnstudio.com if you suspect any unauthorised access to your account.
We are not liable for any loss resulting from unauthorised use of your account if you have failed to take reasonable steps to protect your credentials.
Account types
One account may have multiple users. You are responsible for all activity that occurs under your account, regardless of which user performed it. Team member access and role assignments are your responsibility.
4. Use of Services
Permitted use
Subject to these Terms, CDNStudio grants you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business purposes during the term of your subscription.
Service limits
Your use of the Services is subject to the limits defined in your plan (bandwidth, storage, requests). Overages are billed at the rates published on our pricing page. We will not suspend your service for exceeding plan limits without prior notice, except in cases of network abuse or resource exhaustion affecting other customers.
Beta features
Features labelled "Beta" or "Preview" are provided as-is without warranty and may be changed or discontinued at any time. They are excluded from any SLA commitments.
5. Acceptable use policy
You agree not to use the Services to:
- Transmit, store, or distribute child sexual abuse material or other content that is illegal under applicable law
- Launch distributed denial-of-service (DDoS) attacks or other network attacks against any target
- Send unsolicited bulk email (spam) or operate open mail relays
- Distribute malware, ransomware, or other malicious software
- Engage in phishing, fraud, or impersonation
- Infringe the intellectual property rights of others
- Attempt to circumvent security measures or gain unauthorised access to any system
- Violate the privacy of others, including collecting personal data without appropriate legal basis
- Use the Services in any way that violates applicable laws or regulations
CDNStudio reserves the right to immediately suspend or terminate any account that violates this policy, with or without notice, and to report violations to law enforcement where required.
6. Payment & billing
Fees
You agree to pay all fees applicable to your plan, including any overage charges, in accordance with the pricing published at cdnstudio.com/pricing at the time of your purchase. All fees are in USD unless otherwise agreed in writing.
Billing cycle
Monthly plans are billed at the start of each calendar month for the upcoming month, plus any overages from the previous month. Annual plans are billed upfront for 12 months.
Payment method
You must maintain a valid payment method on file. We will charge your payment method automatically on each billing date. If a payment fails, we will retry up to 3 times over 7 days before suspending your account.
Taxes
All fees are exclusive of taxes, duties, and levies. You are responsible for paying all applicable taxes. EU businesses with a valid VAT registration number may provide it to receive invoices without VAT where applicable under reverse charge rules.
Disputes
If you believe a charge is incorrect, you must notify us within 30 days of the charge date. We will investigate and, if the charge was in error, issue a credit or refund.
Refunds
Monthly subscriptions are non-refundable. Annual subscriptions may be refunded for unused full months at our discretion following a written request. We do not refund charges for overage usage.
7. Uptime SLA

Exclusions
The SLA does not apply to downtime caused by:
- Your origin server being unavailable or returning errors
- Planned maintenance (announced at least 48 hours in advance via status page)
- Force majeure events (natural disasters, government action, internet backbone failures)
- Your violation of these Terms
- DDoS attacks targeting your specific zones
- Beta or preview features
Credit process
SLA credits are issued automatically at the end of the affected billing period. You do not need to request them. Credits are applied to your next invoice and have no cash value.
8. Intellectual property
CDNStudio property
All software, technology, and content comprising the CDNStudio Services — including our network infrastructure, dashboard, API, and documentation — remain the sole property of CDNStudio. These Terms do not transfer any ownership rights to you.
Your content
You retain all ownership rights to your Customer Content. You grant CDNStudio a limited, non-exclusive licence to store, transmit, cache, and process your Customer Content solely for the purpose of providing the Services to you.
Feedback
If you provide us with feedback, suggestions, or ideas about the Services, you grant CDNStudio a perpetual, irrevocable, royalty-free licence to use that feedback without restriction or attribution.
9. Confidentiality
Each party may disclose non-public information to the other in connection with the Services ("Confidential Information"). Each party agrees to:
- Use Confidential Information only for the purpose of performing obligations under these Terms
- Protect Confidential Information with at least the same care as it uses to protect its own confidential information, and no less than reasonable care
- Not disclose Confidential Information to any third party without the other party's prior written consent, except as required by law
These obligations do not apply to information that is publicly available, was already known to the receiving party, or is independently developed without reference to the Confidential Information.
10. Data & privacy
Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
You are responsible for ensuring that your use of the Services complies with all applicable data protection laws, including GDPR where applicable. If you process personal data of EU data subjects through our Services, you should enter into a Data Processing Agreement with us — available on request at hello@cdnstudio.com.
11. Limitation of liability
Disclaimer of warranties. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
Limitation of liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CDNSTUDIO'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE FEES YOU PAID TO CDNSTUDIO IN THE THREE MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED US DOLLARS (USD 100).
Exclusion of consequential damages. IN NO EVENT SHALL CDNSTUDIO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above may not apply to you.
12. Indemnification
You agree to indemnify, defend, and hold harmless CDNStudio and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of:
- Your use of the Services in violation of these Terms
- Your Customer Content, including any claim that it infringes third-party intellectual property rights
- Your violation of any applicable law or regulation
- Any claim by your End Users arising from their use of Customer Content delivered via CDNStudio
13. Termination
Termination by you
You may cancel your account at any time via the dashboard or by contacting support. Cancellation takes effect at the end of your current billing period. No refund is provided for unused time on monthly plans.
Termination by CDNStudio
We may suspend or terminate your account:
- Immediately, without notice, for a material breach of these Terms (including the Acceptable Use Policy)
- With 30 days' written notice, for any other reason
- Immediately if required by law or a court order
Effect of termination
Upon termination, your right to use the Services immediately ceases. CDNStudio will make your Customer Content available for export for 30 days after termination, after which it will be permanently deleted. Termination does not release you from any payment obligations accrued before the termination date.
14. Governing law & disputes
These Terms are governed by and construed in accordance with the laws of the Czech Republic, without regard to its conflict of law provisions.
Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiations between the parties. If the dispute cannot be resolved within 30 days, it shall be submitted to the exclusive jurisdiction of the courts of Prague, Czech Republic.
Nothing in this clause prevents either party from seeking urgent injunctive relief in any court of competent jurisdiction.
15. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will:
- Notify you by email at least 30 days before the changes take effect
- Post the updated Terms at cdnstudio.com/terms with an updated effective date
If you continue to use the Services after the effective date of the revised Terms, you are deemed to have accepted them. If you do not agree to the revised Terms, you must stop using the Services and cancel your account before the effective date.
